CHRISTIANS FOR PEACE IN AFRICA (C.P.A)

Article 1: NAME OF THE ORGANISATION

The name of the organization is CHRISTIANS FOR PEACE AFRICA

referred as CPA.

       Article 2: AREA OF OPERATION OF THE ORGANIZATION

 

Article 2.1: CHRISTIANS FOR PEACE IN AFRICA operates in Republic of South Africa,  in as a whole  Africa and  worldwide.

        Article 2.2: The organization has national branches in many African countries namely:

Tanzania, Burundi, Rwanda, Mozambique, Angola, Democratic Re-public of Congo(DRC), Lesotho, Namibia, Swaziland, Uganda, Sierra Leone, Sudan, Republic of Congo (Brazzaville), Cote d’Ivoire, Kenya, Liberia, Togo, Benin, Cameroon, Somalia, Ethiopia, Nigeria, Senegal, Central

Africa Republic…

Article 3: AIM AND OBJECTIVES OF THE ORGANIZATION

 

            Article 3.1: To promote the public education of the Culture of Peace

among asylum   seekers, refugees, migrants and other communities, as well as to  encourage Reconciliation among all people  in African countries in conflicts and wars.

 

Article 3.2: To pray, to intercede, to maintain and to spread the Christian values of Peace to asylum seekers and refugees and to

other people of  Africa without any discrimination of religion, race,  sex and political affiliation .

 

           Article 3.3: To identify and provide humanitarian assistance to asylum seekers, refugees and deprived and hopeless  people living in the Republic of South Africa  and other African countries. To focus on improving life and Environment of local people  in need of Hope and Peace.

 

Article 3.4: To improve socio-economic living and Environment conditions of  asylum seekers, refugees and deprived people in South Africa and in the other African countries.

 

Article 3.5:To reinforce asylum seekers, refugees and African people‘s Christian faith and to encourage them to perform daily  intercession prayers and to explain to them the importance of  Peace, Reconciliation and clean Environment.

 

          Article 3.6: To combat spiritually any spirit of oppression and hegemony against Christians by those who do not confess the name of Jesus Christ as the Prince of Peace.   

                        

          Article 3.7: To provide advice and services in the following areas: Culture of Peace, Nonviolence, Tolerance, Reconciliation, to combat, to lobby, and to advocate against: Xenophobia, Racism, Tribalism,  sexism or any                             kind of hatred and discrimination.

 

Article 3.8: To create and enhance the spirit of mutual aid, assistance and fraternity amongst asylum seekers, refugees and other people living in South Africa or in the other African countries by contributing in Poverty Alleviation, and creating self-dependence.

 

Article 3.9: To collaborate with local, provincial and national governments, national and International Organizations and Agencies on behalf of asylum seekers, Refugees,migrants and other deprived people living in South Africa and  in other African countries.

 

Article 3.10: To gather and to sensitize all people in Africa in particular, and in the world in general for the defense and the promotion of the public education and  the Culture of Peace and protection of  Environment.     

 

Article 3.11: To advocate and lobby in any way for the restoration and preservation of  Peace and  Environment on the African continent , through the Word of God, Creator of all human being and universe.

 

Article 3.12: To organize prayer and act so that the people of all Africa and its Leaders should walk in the fear of the Lord God, and that the wicked Advisors should be removed from the African Leaders’ offices.

Article 3.13:To lobby and  to advocate in different great national and international gatherings as Conferences , Seminars, Summits, Workshops  by  preventing  and stopping conflicts among people and all kinds of violence   and bloodshed in Africa; as  well as the destruction of the Environment.

 

Article 3.14: To initiate formal and informal contacts with Leaders of opinion (journalists  ,traditional and religious leaders, elected community  representatives, Members of Parliaments …)for the public education of the Culture of Peace, Conflict  Management and Reconciliation…

 

Article 3.15: To distribute and to send regularly the Holy Bible and some other Christian literature pamphlets promoting Peace, Love, Forgiveness, Reconciliation, stopping and combating Xenophobia, Hatred , Retaliation, and protecting the Environment.

 

Article 3.16: To organize regularly conferences, workshops, seminars, and movies screenings as well as  other events promoting the Culture of Peace in Africa among people, and the conservation of the Environment.

 

Article 4: MANAGEMENT COMMITTEE STRUCTURE

 

Article 4.1: CHRISTIANS FOR PEACE IN AFRICA is an Christian International Non-Profit Organization,  as well as a Passion Driven Ministry. The organization is a body corporate and has its identity and existence distinct from its  Office-bearers ,Members and Partners . The two Branches have two different Management Committee Structures.

 

Article 4.2: CHRISTIANS FOR PEACE IN AFRICA continues to exist not withstanding change in the composition of its Members of Management Committee or office-bearers.

 

Article 4.3: The power of CHRISTIANS FOR PEACE IN AFRICA is its Constitution.

 

Article 4.4: CHRISTIANS FOR PEACE IN AFRICA’s income and properties are not distributable to its Spiritual Father, Patron, Trustees, International Advisors, Management Executive Members,  Members and Partners.

 

Article 4.5:CHRISTIANS FOR PEACE IN AFRICA has the rights to bring to Court everyone who will try to make illicit business on behalf of the name of the Organization.

 

Article 4.6: The Management Committee shall have the only responsibilities in the furtherance of the objectives of CHRISTIANS FOR PEACE IN AFRICA.

 

Article 4.7: CHRISTIANS FOR PEACE IN AFRICA Management Committee may only accept gifts either for a general or specific purpose of the Organization.

 

Article 4.8: The Executive Members of the Management Committee must open and maintain a bank accounts  in the name of CHRISTIANS FOR PEACE IN AFRICA .The signatories of the bank account must be the Executive Committee Members of the Organization at least two (2): the

President & Chief Executive Officer (CEO), the Secretary General/Deputy

Secretary General, the Treasurer/Deputy Treasurer, or

other Office-bearers in case of the absence of the 5 Executive Members.

 

Article 4.9: The Executive Members may do anything else with the law necessary in carrying out the objectives of CHRISTIANS FOR PEACE IN AFRICA.

 

 

Article 4.10:The Management Committee Members are not personal liable for any loss suffered by any Members as a result of an act or a mission which occurred in good faith while the Management Committee is performing this function on behalf of CHRISTIANS FOR PEACE IN AFRICA.

 

Article 4.11: A Management Committee Member absent at four (4) successive meetings has not right to elect or to be elected, except in case of a challenge/problem known by CHRISTIANS FOR PEACE IN AFRICA.

 

Article 5: MEMBERSHIP AND PARTNERSHIP.

 

Article 5.1: Membership/Partnership of CHRISTIANS FOR PEACE IN AFRICA is valid to any individual/organization , and/or any faith Christian or other organizations that are interested in further the Aim and Objectives of the CPA.

 

Article 5.2: Organizations or individuals wishing to apply for Membership/Partnership must complete an application form available at any office of CHRISTIANS FOR PEACE IN AFRICA in South Africa or elsewhere  in Africa as prescribed by the Management Executive Committee. Or can become Member or Partner of the organization by joining it electronically worldwide through our website:

www.christiansforpeaceinafrica.co.za  .

 

Article 5.3: No Member/Partner of CHRISTIANS FOR PEACE IN AFRICA shall be allowed to pursue his/her political or personal interests in the bosom of the Organization.

 

Article 5.4: Every Member/Partner must pay an annual subscription of R 200 (Two hundred South African Rand ) or equivalent in any currency in other Africa countries or worldwide  as decided by the Management Committee of CHRISTIANS  FOR PEACE IN AFRICA since the inception or launch of the Organization. The amount can be paid at once or monthly.

 

Article 5.5:  Every Member/Partner or appointed representative of CHRISTIANS FOR PEACE IN AFRICA has one vote voice during the CPA Annual General Meeting.

 

Article 5.6: A Member/Partner can cancel his/her Membership/Partnership whenever is necessary. And the annual subscription is not refundable.

 

Article 5.7: Where the President & Chief Executive Officer (CEO) considers that a Member/Partner’s conduct is harmful to image of  CHRISTIANS FOR PEACE IN AFRICA he  may by resolution  require the Member/Partner concerned either to resign, or put his/her  case to a meeting of the CPA Management Executive Committee for a final decision

 

Article 5.8: Where the President & Chief Executive Officer (CEO) is satisfied after hearing the case put by or  on behalf of the Member/Partner concerned , the Membership/Partnership by written notice must be cancelled.

 

Article 5.9: The Management Committee Members or Office-bearers have no right to the property or assets of CHRISTIANS FOR PEACE IN AFRICA solely or by the virtue of him/her being Member/Partner or Office-Bearer.

 

Article 5.10: A Member/Partner who does not pay his annual subscription has no right to elect or to be elected.

 

Article 6: REMOVAL OF MEMBER/PARTNER.

 

Article 6.1: Any Member/Partner found guilty and convicted of any crime/behavior Involving dishonesty or fraud shall have his/her Membership/Partnership forfeited immediately from CHRISTIANS FOR PEACE IN AFRICA.

 

Article 6.2: CHRISTIANS FOR PEACE IN AFRICA on a majority of 2/3 Members/Partners present vote in favor at duly constituted meeting to remove a Member/Partner of CPA.

 

Article 6.3: In the event of a Member/Partner’s temporary absence , the affected Member/Partner  may appoint a proxy in writing , proved and signed by the President & CEO. The President & CEO  must confirm the removal of a Member/Partner by writing a notice.

 

Article 6.4:For appealing a case lost of benefits of a Membership/Partnership or against  termination of a Membership/Partnership, the appeal must be made to the Management Committee of CHRISTIANS FOR PEACE IN AFRICA.

 

Article 7: ADMNISTRATION OR MANAGEMENT COMMITTEE OF CHRISTIANS FOR PEACE   IN AFRICA

 

Article 7.1: The Spiritual Father for CHRISTIANS FOR PEACE IN AFRICA, Passion Driven Ministry as well as the Patron for CHRISTIANS FOR PEACE IN AFRICA, Christian International Non-Profit Organization are on top of the Structures of the   Management Committees of the organization.

 

Article 7.1.1: The Spiritual Father is the spiritual figure whom through his outstanding teachings and nurturing of the Word of God has inspired the inception and birth of  CHRISTANS FOR PEACE IN AFRICA.

 

Article 7.1.2: The Patron has been selected and chosen according to his Christian outstanding moral and spiritual standard, as well as his experiences in the field of the promotion of Peace, Reconciliation, Conflict Management in the  African  continent and worldwide.

Article 7.2: The Trustees.

 

Article 7.2.1: The Trustees are also the overseers and spiritual, moral responsible of CHRISTIANS FOR PEACE IN AFRICA. They are chosen according to their high Christian  moral standards of integrity. They daily watch on the life of the Organization. They have manifested a great interest, support and passion for  the Organization .They are not requested to participate to the daily administration and management of CPA, or to be present to the monthly meetings of CHRISTIANS FOR PEACE IN AFRICA.But they should be regularly informed about the Management of CPA.

 

Article 7.2.2: The Trustees intervene in case of the major crises in CHRISTIANS FOR PEACE IN AFRICA and can be consulted individually or collectively by the President & Chief Executive Officer or by the Management Executive Committee.

 

Article 7.2.3: They can advocate or lobby for the fundraising of CHRISTIANS FOR CHRISTIANS FOR PEACE IN AFRICA if requested by the Management Committee or on their own initiatives.

 

Article 7.3: The International Advisors

 

Article 7.3.1: The International Advisors of CHRISTIANS FOR PEACE IN AFRICA are selected and chosen amongst the Christian Partner Organizations in Africa and worldwide. They play a vital role in empowering the Organization in different fields  and issues in the African continent  and worldwide through training,  partnership and  networking.

 

Article 7.3.2:. They advise CHRISTIANS FOR PEACE IN AFRICA Management Executive Committee in different issues according to their area and field of action, experiences  or expertise.

 

Article 7.3.3: They can initiate or work according to the objectives and Action Plan of the Management Executive Committee in the different African regions and worldwide.

 

Article 7.4: The Management Executive Committee

 

Article 7.4.1: The Administration or the Management Executive Committee shall Consist of :

8 Executive Members and 10 Executive Counselors.

-the President & Chief Executive Officer (CEO)

-the Deputy President,

-the Chief Operations Officer  (COO)

-the Secretary General,

- the Deputy Secretary General,

- the Treasurer,

-the Deputy Treasurer,

-the Public Relations Officer (PRO).

 

Article7. 4.2: The President & Chief Executive Officer (CEO) shall:

 

Article 7.4.2.1 Organize the Management Structure and set Goals and Objectives for CHRISTIANS FOR PEACE IN AFRICA according to its Vision.

Convene and chair all the meetings of the CPA. The President & Chief  Executive Officer (CEO) can relinquish his/her portfolio or position of the Chief Executive Officer (CEO) of the Organization by designing a competent and dynamic Member of CHRISTIANS FOR PEACE IN AFRICA who can carry  on in undertaking all the activities as CEO, except sharing the meetings.

 

Article 7.4.2.2 Have power of deliberation and casting vote in all matters put to a vote at the meetings of CHRISTIANS FOR PEACE IN AFRICA.

 

Article 7.4.2.3 If he considers it necessary, summon an emergency meeting of the Management Executive Committee by giving notice of there by telephone, fax, telegram, e-mail or otherwise, at least 3 days before the meeting.

 

Article 7.4.2.4: Coordinate all activities of the CHRISITIANS FOR PEACE IN AFRICA and engage the Organization with other national and International Organizations.

 

Article 7.4.2.5: Countersign checks with the Treasurer or Deputy Treasurer or other Office-bearers in the absence of the above mentioned.

 

Article 7.4.2.6: In case of absence of President & Chief Executive Officer (CEO), the Deputy President takes his place and performs his functions normally performed by the him.

 

Article 7.4.2.7:  In the event of absence of both President &Chief Executive Officer (CEO) and the Deputy President , the Members/Partners shall elect a President and Deputy President who shall perform such function normally performed by both, President & Chief Executive Officer (CEO) and  Deputy President with the same rights  and privileges.

 

Article 7.4.2.8: The President & Chief Executive Officer (CEO) ,Founder is the only right person to refute the decision taken by Members/Partners if it is in opposite with Christian Faith and Belief or the objectives of CHRISTIANS FOR PEACE IN AFRICA.

 

Article 7.4.2.9: In case of the absence of the Treasurer or Secretary General, the President & Chief Executive Officer(CEO) shall appoint the Treasurer or Secretary General who shall perform such functions normally performed by the above, if the Deputy Secretary General is also absent,
 

Article 7.5      The Deputy President.

 

Article 7.5.1: In the event of the absence of the President & Chief Executive Officer (CEO), the Deputy President   shall performed such function normally performed by the President & CEO with the same rights and privileges .

 

Article 7.5.2: The Deputy President is assisted in his duties by a Chief Operations Officer (COO) as designed by the President & Chief Executive Officer (CEO).

 

Article 7.5.3: The Chief Operations Officer (COO) is the cornerstone of the organization. He initiates, supervise and monitor the different programs and activities of CHRISTIANS FOR PEACE IN AFRICA.

Article 7.5.4: Under the instruction of the President & Chief Executive Officer (CEO), the Chief Operations Officer (COO) works closely in partnership with other Executive Members and Executive Counselors to reach the Goals and Vision of CHRISTIANS FOR PEACE IN AFRICA, through different projects.

 

Article 7.6.: The Secretary General shall:

 

Article 7.6.1: At all times maintain a current register of all Members/Partners of CHRISTIANS FOR PEACE IN AFRICA.

 

Article 7.6.2: Take and keep minutes of annual regular meetings as well as special meetings of CHRISTIANS FOR PEACE IN AFRICA.

 

Article 7.6.3: Keep the original or master copy of the Constitution of CHRISTIANS FOR PEACE IN AFRICA and its different translations in a safe place at ready disposal of any Member/ Partner of the Organization for the inspection.

 

Article 7.6.4: Keep the Constitution update by effective there to immediately and Properly  any and all amendments approved in term of the Constitution.

 

Article 7.6.5: Conduct all correspondence relating to those aims and objectives of CHRISTIANS FOR PEACE IN AFRICA, which the CPA has power to carry in to effect the Constitution.

 

Article 7.6.6: Write and present the Annual Report of CHRISTIANS FOR PEACE IN AFRICA’s activities throughout the year and present it at every Annual General Meeting (AGM). Distribute the minutes of the meeting for the follow-up purposes.

 

Article 7.6.7: The Secretary General plays the role of the spokesperson of CHRISTIANS FOR PEACE IN AFRICA and he/she is the master of ceremony at the International Conference On Peace in Africa or other great events.

 

Article 7.7: The Deputy Secretary General shall:

 

Article 7.7.1: In the absence of the Secretary General, the Deputy Secretary General shall perform such functions normally performed by the Secretary General with the same rights and privileges

 

Article 7.7.2: Correspond electronically and daily with all the South African Branches and International Branches of CHRISTIANS FOR PEACE IN AFRICA, through the Regional Directors and National Directors

 

Article 7.7.3: The Regional Director is the representative of the President & Chief Executive Officer (CEO) in each of the 5 African regions (North, South, East, West and Central)

 

Article 7.7.4: Regionally he plays the role played internationally by the President & Chief  Executive Officer (CEO)

 

Article 7.7.5: The National Director is the representative of the President & Chief Executive Officer in the country he/she represents.

 

Article 7.7.6: Nationally, he plays the role internationally played by the President & Chief Executive Officer  (CEO), but under the supervision of the Regional Director.

 

                                                                                                                                      

Article 7.8:The Treasurer shall:

 

Article 7.8.1:Keep proper book of accounts reflecting the financial transaction of CHRISTIANS FOR PEACE IN AFRICA.

 

Article 7.8.2: Present an audited financial statement at every Annual General Meeting.

Of CPA.

 

Article 7.8.3: Allow any Management Executive Member to examine the financial statement at every Annual General Meeting of CPA.

 

Article 7.8.4: Present a report and current bank statement at every CHRISTIANS FOR PEACE  IN AFRICA meeting.

 

Article 7.8.5: Countersign with the President & CEO in financial and banking matters, and one of  the Management Executive Member from the executive coordination who shall perform such function ;normally performed by the Treasurer with the same rights and privilege.

 

 

Article 7.9:  The Deputy Treasurer shall:

 

Article 7.9.1: In the absence of the Treasurer , the Deputy Treasurer shall perform such functions normally performed by the Treasurer with the same rights and privileges.

 

Article 7.9.2: Initiate the fundraising outside CHRISTIANS FOR PEACE IN AFRICA and remind the payment of membership/partnership fees among the Members/Partners of  CPA.

 

Article 7.10: The Public Relations Officer shall:

 

Article 7.10.1: Hear, see and find better solutions to improve the life of Members/Partners of CHRISTIANS FOR PEACE IN AFRICA as well as to Brand  the good image of the organization.

 

Article 7.10.2: Enroll, identify, settle and do welfare program services with different Churches and other Organizations.

 

Article 7.10.3: Play effectively the role of Public Relations Officer in CHRISTIANS FOR PEACE IN AFRICA.

 

Article 7.10.4: Initiate and organize events in connection with the Objectives of CHRISTIANS FOR PEACE IN AFRICA with different churches, schools, government, parliament, embassies and other national and international organizations.

 

Article 7.11The Executive Counselors.

 

Article 7.11.1: Advise regularly and keep harmony of all the activities of CHRISTIANS FOR PEACE IN AFRICA according to the Christian Faith, Values and Vision.

 

Article 7.11.2: Must be informed regularly for acquiring of assets and controlling assets at each regular or special meeting.

 

Article 7.11.3: Are chosen by the President & Chief Executive Officer (CEO) of CHRISTIANS FOR PEACE IN AFRICA according to their integrity in the communities as  Christian Leaders and role-models.

 

Article 7.11.4: Can be asked or instructed discretionally by the President & Chief Executive Officer (CEO) or by the Management Committee to perform certain role or functions  in CHRISTIANS FOR PEACE IN AFRICA outside their habitual Portfolio/duties, expertise.

 

Article 8:     REGULAR MEETING

 

Article 8.1: Regular meeting of CHRISTIANS FOR PEACE IN AFRICA shall be held once(1) a month.

 

Article 8.1: Management Executive Members are entitled to put forward items to the Secretary General ‘s office of CHRISTIANS FOR PEACE IN AFRICA which should be included in the agenda. The final contact of the agenda shall be responsible of the executive coordination. CPA deviates from the agenda on a simple majority vote.

 

Article 8.2: The Management Executive Members shall be entitled to be present, speak and vote at the meeting.

 

Article 8.3: No guest or visitor is entitled to vote in the meeting. As observer, he/she can be only allowed to speak.

 

Article 9: SPECIAL MEETING

 

Article 9.1: The President & Chief Executive Officer (COO)  at request of any Management Executive Member call a Special Meeting of CHRISTIANS FOR PEACE IN AFRICA in considering the specific noted point in the requested and in this shall be called if more than half (1/2) of staff Members/Partners  request so.

 

Article 9.2: A Special Meeting must consider the specific issues(s) raised for which the Special Meeting convened. The President & Chief Executive Officer (CEO) hall, depending on the  perceived urgency of the matter give notice for “non-emergency matter”.

 

Article 9.3: Decisions taken at a Special Meeting shall be ratified at the following regular meeting.

 

Article 10: ANNUAL GENERAL MEETING (AGM)

 

Article 10.1: The Annual General Meeting of CHRISTIANS FOR PEACE IN AFRICA shall take place at the end of each year, the last week of December.

 

Article 10.2: Thirty (30) days notice in writing shall be given to the Secretary General’s office of CHRISTIANS FOR PEACE IN AFRICA. Such notice shall include the agenda outlining  the point of the meeting.

 

Article 10.3: Members/Partners are entitled   to put items through the Secretary General of CHRISTIANS FOR PEACE IN AFRICA, which they feel should be included in The agenda  . The final context shall be responsible of the of the Management Executive Committee.

 

Article 10.4: A quorum of two-third (2/3) of CHRISTIANS FOR PEACE IN AFRICA Members/Partners, including the President & CEO or the Secretary General Is required to validate the proceeding of the AGM, maximum time of  five (5) Hours (300) minutes.

 

Article 10.5: If a quorum is not attainable, the AGM shall be postponed for further two (2) Weeks and a notice shall be given to all Members/Partners .

 

Article 10.6: In addition to any other points which may be included in the agenda or arise At the meeting (subject to a simple majority vote) shall be transacted the AGM

.

Article 10.7: To receive and adopt the Annual Report of the President &Chief Executive Officer (CEO), Treasurer and Auditors, if they are deemed accepted by all present.

 

Article 10.8: To approve the Management Executive Members appointed by the President & CEO  for their continuation after the three (3) years renewable terms acceptable, Except for the President & Chief Executive Officer(CEO),Founder who remains the international Representative or symbol of CHRISTIANS FOR PEACE IN AFRICA.

Article 10.9: Voting or contributions by proxy shall not be allowed unless they have been Received in writing by the President & Chief Executive Officer (CEO) not less than thirty (30) days prior to the AGM.

 

Article 11: FINANCE

 

Article 11. 1: The following will finance CHRISTIANS FOR PEACE IN AFRICA:

Membership/Partnership annual fees,

Member/Partner’s personal or organization’s contribution

Donations,

Legacy,

Funds from faithful persons,

Christian and other Organizations,

Governments, Churches…

 

Article 11.2: The Management Executive Committee shall ensure that:

 

Article 11.2.1: Proper book of account are kept which shall be audited by a reputable Register Auditing Company,

 

Article 11.2.2: There shall be at least 3 signatures: President & Chief Executive Officer (CEO), Treasurer, the Secretary General…

 

Article 11.2.3: The presented financial statement and Annual Report shall be submitted to All the Members/Partners , relevant Founding Executive Members, Overseers /Trustees and International Advisors along with the given agenda of the AGM.

 

Article 11.2.4: Bank account shall be opened in the name of CHRISTIANS FOR PEACE IN AFRICA . And all money received for the purpose of CPA’s activities shall be Deposited in this account and dully acknowledge.

 

Article 11.2.5: All expenses of CHRISTIANS FOR PEACE IN AFRICA are authorized by The President & Chief Executive Officer (CEO) in writing notice.

 

 Article 11.2.6: The date of the end of CHRISTIANS FOR PEACE IN AFRICA financial year  is December 30.

 

Article 12: RESTRICTIONS.

 

Article 12.1: The activities and funds of CHRISTIANS FOR PEACE IN AFRICA will be Confined to the Republic of South Africa including former homeland territories

 

Article 12.2: A Management Executive Member has no power to carry on any business, this Include inter-alias , ordinary trading operation in commercial sense speculative Transactions, dividend stripped activities as the letting of property on a system Or regular basis on behalf of CHRISTIANS FOR PEACE IN AFRICA.

 

Article 12.3: Funds available for investment may be only invested with registered financial (investment of funds) Act 1984 and securities listed on licensed stock as defined in the Stock Exchange Control.

 

Article 12.4: CHRISTIANS FOR PEACE IN AFRICA income and property are not Distributable to its Members/Partners or its Management Committee Members Or its office-bearers, except the salaries that the Member/Partners can earn for Services rendered, especially the full-time Management Executive Members (President & Chief Executive  Officer(CEO), Personal Executive Assistant, Regional Director, National Director) and full- time staff.

 

Article 12.5: The services rendered to CHRISTIANS FOR PEACE IN AFRICA are on Voluntary basis , except that some per diem can be paid if necessary and According to the financial possibilities.

 

Article 13: AMENDMENT OF THE CONSTITUTION
Article 13.1: The provision of this Constitution may, by amendment, supplement deed at a Management Committee Members meeting by resolution passed by a 2/3 majority off Members present.

 

Article 13.2: But not amendment will be valid if it would alter the Objectives, Mission and Vision of CHRISTIANS FOR PEACE IN AFRICA

 

Article 13.3: A copy of all amendment of Constitution will be submitted to the Commissioner Of INLAND REVENUE.

 

Article 13.4: The Constitution can be changed by resolution. The resolution has to be agreed Upon a passed by no less than 2/3 Members/Partners who are at the Annual General Meeting OR special Meeting. Members/Partners must vote at the Meeting to change the Constitution.

 

Article 13.5: The 2/3 Members/Partners shall be present at the AGM before a decision to Change Constitution is taken. Any AGM may vote upon such a motion if the Details of the changes are set out in the notice referred in this Constitution. Regional Director and National Director can submit electronically their votes

 

Article 13.6: A written note must go out not less than fourteen (14) days before the meeting At which the change to this Constitution are going to be proposed. The notice Must indicate the proposed change to the Constitution that will be discussed at the meeting.

 

Article 13.7: No amendment may be made which would have effect of making CHRISTIANS FOR PEACE IN AFRICA to end to exist.

 

Article 14: DISSOLUTION OF CHRISTIANS FOR PEACE IN AFRICA.

 

Article 14.1:CHRISTIANS FOR PEACE IN AFRICA may be dissolved at the Annual General Meeting by resolution passed by 16 Management Committee Members( Management Executive Members and Executive Counselors) Present and voting. The Regional Directors and National Directors can also vote by phone or electronically.

 

Article 14.2: In the event of dissolution the Management Executive Members shall be Responsible for ordinary winding up of the affairs of CHRISTIANS FOR PEACE IN AFRICA.

 

Article 14.3: In the event of dissolution of CHRISTIANS FOR PEACE IN AFRICA, Remaining assets will be transferred to a Christian Non-Profit Organization, Church or an educational institution within the Republic of South Africa, which Are themselves except from income tax in terms of section 10(1)(+) of the Income tax Act.

 

Article 15: ADOPTION, AMENDEMENT OR SUPLEMENTMENT OF THE CONSTITUTION

 

Article 15.1: This Constitution of CHRISTIANS FOR PEACE IN AFRICA was amended ,supplemented and adopted by the Members/Partners of CPA at his special meeting on the 20 January 2011
